1. Acceptance of Terms

By accessing or using the Adviral IO platform ("Service"), the User ("you", "User") agrees to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must discontinue use of the Service.

2. Description of the Service

Adviral IO provides a digital platform that connects advertisers and content creators, enabling distribution of digital advertising materials, referral programs, performance analytics, payout processing, and other related digital services.

The Service is provided strictly for commercial use.

3. Operator and Jurisdiction

The Service is owned and operated by Adviral IO Ltd, incorporated under the laws of the Republic of Cyprus.

This Agreement is governed exclusively by the laws of the Republic of Cyprus.

4. Eligibility

The Service is not intended for:

  • Individuals under 18 years of age;
  • Users accessing the Service from territories where such access is prohibited;
  • Users located in the Russian Federation.

Users represent and warrant that they do not use the Service from the territory of the Russian Federation.

5. Account Registration

Users must provide accurate and complete registration data.

Operator reserves the right to suspend or terminate accounts in case of:

  • false data;
  • suspicious activity;
  • violation of these Terms.

6. Use Restrictions

The User shall not:

  • misuse the Service for illegal or fraudulent activities;
  • circumvent security systems;
  • copy, modify or reverse-engineer platform code;
  • use automated tools unless approved by the Operator.

7. Advertising Content and Creator Obligations

Creators agree to:

  • comply with provided advertising materials;
  • deliver truthful performance results;
  • not manipulate view counts, engagement or metrics;
  • follow platform rules and brand-safety requirements.

All advertising materials remain the intellectual property of the respective advertisers.

8. Referral Program

The Service may include referral or partner reward mechanisms.

Operator may change reward amounts, eligibility rules, or terminate the program at any time without prior notice.

9. Payments and Payouts

  • Payouts may require identity verification (KYC/KYB).
  • Operator may freeze balances in cases of fraud or violations.
  • Minimum withdrawal amounts may apply.
  • All payments are processed in accordance with Cyprus AML regulations.

10. Intellectual Property Rights

All components of the Service (software, design, trademarks, analytics tools, documentation and other materials) are the exclusive property of Adviral IO Ltd or its licensors.

No rights are transferred to the User except for a limited non-exclusive license to use the Service.

11. Data Processing

Personal data is processed in accordance with the Privacy Policy and GDPR.

Data is stored on servers located in the EU or in jurisdictions approved by Cyprus law.

The Service is not a personal data operator under Russian law.

12. Territory Restrictions

The Service is not targeted at residents of the Russian Federation.

Operator may restrict access from certain IP ranges or countries.

13. Disclaimers

The Service is provided "AS IS".

Operator does not guarantee uninterrupted work, full accuracy of analytics, or compliance with the laws of any country except Cyprus.

14. Limitation of Liability

Operator shall not be liable for:

  • indirect or consequential damages;
  • loss of revenue or profits;
  • actions of third-party integration services.

Maximum cumulative liability is limited to the amount actually paid by the User for the previous 3 months.

15. Indemnification

User indemnifies the Operator from any claims related to:

  • unlawful content uploaded by User;
  • illegal advertising;
  • use of copyrighted materials without permission.

16. Suspension and Termination

Operator may suspend access to the Service in cases of:

  • violation of these Terms;
  • suspected fraudulent activities;
  • legal requests from authorities.

17. Governing Law and Dispute Resolution

These Terms are governed exclusively by the laws of the Republic of Cyprus.

All disputes are subject to the exclusive jurisdiction of the courts of Nicosia, Cyprus.

18. Amendments

Operator may amend these Terms at any time. Users will be notified via the platform or email. Continued use of the Service constitutes acceptance of the updated Terms.

19. Language

The official version of these Terms is the English version.

In the event of inconsistencies, the English version prevails.
